Lubeth uses probabilistic artificial intelligence and external information. Outputs may be inaccurate, incomplete, outdated, offensive or non-unique. You must review outputs before relying on, publishing or acting on them. Lubeth is not a substitute for qualified legal, medical, financial, regulatory or other professional advice. Sections 10, 13, 14 and 15 contain important restrictions, disclaimers and limitations of liability.
1. Agreement and provider
Lubeth is an artificial intelligence platform owned and operated by Transhuman Technologies ("Transhuman", "Lubeth", "we", "us" or "our"). These Terms govern your access to our websites, applications, APIs, business workspaces, tools and related services (collectively, the "Services").
By creating an account, accepting an invitation, purchasing a plan, accessing an API or otherwise using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you use the Services for an organisation, you confirm that you have authority to bind that organisation, and "you" includes that organisation. If you do not agree, do not use the Services.
An order form, enterprise agreement, data-processing agreement or service schedule signed by Transhuman may add to or vary these Terms. The signed agreement controls to the extent of a direct conflict.
2. Eligibility
You must be at least 18 years old and legally capable of entering this agreement, or use the Services through an organisation that has validly authorised and accepted responsibility for your use. You may not use the Services if applicable law prohibits it or if we previously suspended you for a material violation.
3. Accounts, credentials and business workspaces
You must provide accurate information, keep verification codes and API credentials confidential, maintain appropriate device security and promptly notify us of suspected compromise. You are responsible for activity performed through your account or credentials except to the extent caused by our breach of duty.
Business customers control their workspaces and are responsible for their administrators, users, API clients, uploaded knowledge, instructions, permissions, integrations and lawful use. Workspace administrators may access and manage workspace information and may suspend or remove users. API credentials must be used only within their authorised scopes and must not be embedded in public software or shared between unrelated parties.
4. The Services
Lubeth may answer questions, research public sources, analyse supplied material, generate content and artifacts, retrieve authorised business knowledge and perform approved actions using connected tools. Available features depend on your plan, workspace configuration, jurisdiction, usage limits and technical availability.
We may improve, add, remove or change features. We will provide reasonable notice before a material reduction to paid core functionality where practicable. Beta, preview, trial and experimental features may be changed or withdrawn at any time and are provided for evaluation unless we state otherwise.
5. Input, customer content and output ownership
You retain your rights in content you submit. You grant Transhuman and its contracted service providers a worldwide, non-exclusive, limited licence to host, copy, transmit, process, transform and display that content only as reasonably necessary to provide, secure and support the Services, comply with law and enforce these Terms.
You represent that you have all rights, permissions and lawful grounds required to submit content and instruct us to process it. Do not upload confidential, personal, copyrighted or regulated information unless you are authorised to do so and the applicable workspace is approved for it.
As between you and Transhuman, and to the extent permitted by law, you own outputs generated specifically for you. This does not give you rights in third-party material, public-source content, our technology or similar outputs generated independently for others. Outputs may not be unique.
Customer content is handled as described in the Privacy Policy. We do not use customer content to train general-purpose or foundation AI systems unless the affected customer expressly opts in.
6. AI outputs, research and human review
You are responsible for evaluating whether an output is accurate, lawful and appropriate for your purpose. Citations indicate sources considered; they do not guarantee that a source is correct, complete or current. You must inspect generated files, code, calculations, links and proposed actions before use.
You must not use Lubeth as the sole basis for decisions concerning a person's legal rights, employment, credit, insurance, housing, education, medical care or other high-impact matters. Properly qualified human reviewers must exercise independent judgement and comply with all applicable notice, explanation, fairness and appeal requirements.
7. Tools, connectors and external actions
Some features can access websites, process files, execute code, create artifacts or interact with connected services. You authorise the transmissions and actions you request or approve. You are responsible for verifying recipients, destinations, permissions and material consequences before approving an external action.
Third-party websites, connectors and services are governed by their own terms. We do not control their content, availability or subsequent handling of information. Do not connect a service unless you trust it and are authorised to grant the requested access.
8. Acceptable use
You may not use the Services to:
- break the law, violate another person's rights, process data without authority or evade regulatory obligations;
- create or distribute malware, exploit systems, bypass security controls, discover credentials or gain unauthorised access;
- facilitate fraud, deception, impersonation, phishing, spam, unlawful surveillance, harassment, exploitation or violence;
- generate or distribute unlawful sexual content, child sexual abuse material or content that exploits minors;
- make unlawful high-impact decisions or infer highly sensitive traits without a valid lawful basis and required safeguards;
- infringe intellectual-property, privacy, confidentiality, publicity or contractual rights;
- misrepresent AI-generated material as independently verified, manipulate evidence or remove required disclosures;
- circumvent usage limits, entitlements, approvals, safety controls, billing, access restrictions or rate limits;
- resell, sublicense, scrape, reverse engineer or use the Services to build a competing system except where an applicable enterprise agreement or mandatory law expressly allows it; or
- interfere with the Services or impose an unreasonable load on our infrastructure.
We may investigate suspected violations, preserve relevant evidence, restrict risky features and cooperate with lawful authorities. We may suspend access immediately where reasonably necessary to prevent harm, protect security or comply with law.
9. Business data and compliance
Business customers are responsible for configuring retention, user access, knowledge approval, tool permissions and human-review processes appropriate to their industry. Unless agreed in writing, the Services are not represented as satisfying sector-specific requirements for health, payment-card, classified-government or similarly restricted data.
Each party will comply with applicable privacy and data-protection law. Where Transhuman processes personal information for a business customer, the customer remains responsible for its processing instructions, notices, legal bases and data-subject responses, and any applicable data-processing agreement forms part of the contract.
10. Plans, credits, billing and cancellation
Prices, billing periods, included features, credits and limits are shown at checkout, in your order form or in the workspace. Taxes may apply. Paid subscriptions renew for the displayed billing period until cancelled unless the order states otherwise. You authorise the payment provider to charge the selected payment method.
Credits are usage permissions, not money or stored value. They are non-transferable, have no cash value and may expire or reset as stated for the plan. Failed, cancelled or safety-blocked operations may still consume resources where work has already been performed, subject to applicable law and our published billing rules.
You may cancel future renewal using available account controls or by contacting us. Cancellation does not ordinarily refund charges already incurred or the current billing period, except where required by applicable law or expressly offered at checkout. Consumer cooling-off, cancellation, refund and warranty rights that cannot lawfully be excluded remain unaffected.
11. Our intellectual property
Transhuman and its licensors own the Services, software, designs, documentation, trademarks and related technology. These Terms grant only a limited, personal or internal-business, non-exclusive, non-transferable, revocable right to use the Services during the applicable subscription and in accordance with these Terms.
If you provide feedback, you permit us to use it without restriction or payment, provided we do not identify you publicly without permission.
12. Confidentiality
Each party receiving non-public information from the other will use reasonable care to protect it and use it only to perform the agreement. This does not cover information that is public without breach, already lawfully known, independently developed or lawfully obtained from another source. A recipient may disclose information when legally required after giving notice where legally permitted.
13. Availability and warranties
To the maximum extent permitted by law, the Services and outputs are provided "as is" and "as available". We do not warrant uninterrupted or error-free operation, that every request will complete, that public sources or third-party services will remain available, or that outputs will be accurate, complete, unique, fit for a particular purpose or free of third-party rights.
Nothing in these Terms excludes an express written service level or warranty in an applicable order form, or any statutory warranty or consumer right that cannot legally be excluded.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive or consequential loss, or loss of profits, revenue, goodwill, anticipated savings or data, arising from the Services. Transhuman's aggregate liability arising from the Services will not exceed the greater of the amount you paid for the affected Services during the 12 months before the event giving rise to the claim or ZAR 1,000.
The limitations do not apply to fraud, wilful misconduct, gross negligence where liability cannot be excluded, infringement or misappropriation of the other party's intellectual property, breach of confidentiality, payment obligations, or any liability that applicable law prohibits us from limiting. Consumer rights under the Consumer Protection Act and other mandatory laws remain unaffected.
15. Business indemnity
If you use the Services for a business or organisation, that organisation will defend and indemnify Transhuman and its personnel against third-party claims, losses and reasonable costs arising from its customer content, unlawful instructions, external actions, violation of these Terms or infringement of third-party rights, except to the extent caused by Transhuman's breach, gross negligence or wilful misconduct. This section does not apply to an individual consumer where prohibited by law.
16. Suspension and termination
You may stop using the Services at any time and may cancel as described above. We may suspend or terminate access for material or repeated breach, non-payment, security risk, unlawful use, harm to others, provider restrictions or legal requirements. Where reasonable, we will give notice and an opportunity to remedy. Provisions intended by their nature to survive termination—including payment, ownership, confidentiality, disclaimers, liability and dispute provisions—will survive.
17. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles. Before starting formal proceedings, each party should give written notice of the dispute and allow 30 days for good-faith resolution. If unresolved, the courts of South Africa having jurisdiction may hear the dispute.
If you are a consumer, this section does not remove mandatory protections or prevent you from approaching a competent consumer tribunal, regulator, ombud or court available under applicable law. International users retain any mandatory rights that the law of their habitual residence does not permit them to waive.
18. General
You may not assign these Terms without our written consent, but we may assign them in connection with a restructuring, financing, merger or sale of the relevant business. Neither party is liable for delay caused by events beyond reasonable control. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue. Failure to enforce a provision is not a waiver. These Terms and incorporated agreements are the entire agreement concerning the Services.
19. Changes to these Terms
We may update these Terms to reflect changes to law, security or the Services. We will publish the revised effective date and provide reasonable additional notice of material changes where required. Changes will not retroactively reduce accrued rights. Continued use after the effective date constitutes acceptance where permitted by law.
